1. Definitions: "Company", "We", "Our" refers to your IT company. "Client", "User", "You" refers to any individual or business using our services.

2. Scope of Services: We provide IT services including but not limited to software development, web/mobile applications, cloud solutions, cybersecurity, consulting, and maintenance. All services will be delivered as per mutually agreed project scope, timelines, and specifications.

3. User Obligations: You agree to:
• Provide accurate and complete information
• Cooperate during project execution
• Use services only for lawful purposes
• Not attempt unauthorized access, hacking, or misuse

4. Intellectual Property Rights:
• All pre-existing tools, frameworks, and software remain the property of the Company
• Custom deliverables may be transferred upon full payment
• Unauthorized copying, resale, or redistribution is prohibited

5. Confidentiality: Both parties agree to maintain strict confidentiality of all proprietary and sensitive information. Confidential data shall not be disclosed to third parties without written consent, except where required by law.

6. Payment Terms:
• Pricing will be defined in project agreements or proposals
• Payments must be made as per agreed milestones
• Late payments may incur penalties or service suspension
• All fees are non-refundable unless otherwise stated

7. Project Delivery & Timelines: We strive to meet deadlines; however, delays caused by client dependencies, third-party services, or unforeseen circumstances are not our responsibility.

8. Third-Party Services: Our solutions may include integrations with third-party platforms, APIs, or tools. We are not responsible for their performance, availability, or policies.

9. Data Protection & Security: We implement industry-standard security practices to protect your data. However, we cannot guarantee absolute security against cyber threats.

10. Limitation of Liability: The Company shall not be liable for any indirect, incidental, or consequential damages, including loss of profits, data, or business interruption. Liability is limited to the amount paid for the service.

11. Warranties Disclaimer: Services are provided "as is" without warranties of any kind, whether express or implied, including fitness for a particular purpose.

12. Termination:
• Either party may terminate the agreement with written notice
• All outstanding dues must be cleared upon termination
• Access to services may be revoked after termination

13. Force Majeure: We are not responsible for delays or failure due to events beyond our control such as natural disasters, war, pandemics, or technical outages.

14. Modifications to Terms: We reserve the right to update these Terms at any time. Continued use of services indicates acceptance of updated terms.

15. Governing Law & Jurisdiction: This Agreement shall be governed by the laws of your operating country. Any disputes shall be subject to the jurisdiction of local courts.
